The Guarantee of Access
THE ULTIMATE SCREENWRITER TERMS AND CONDITIONS Effective Date: November 1, 2025 Last Updated: November 1, 20251. ACCEPTANCE OF TERMS
By purchasing, accessing, or using The Ultimate Screenwriter course ("Course"), you ("Student," "Purchaser," "Buyer," "Recipient," "Submitter," "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not purchase or access the Course. These Terms constitute a binding legal agreement between you, the buyer or recipient of the Course, student of this Course, submitter, and Waking Life Films Inc., The Ultimate Screenwriter, and all subsidiaries ("Company," "we," "us," "our").
By purchasing, receiving, accessing, studying, or submitting work under this Course, you are legally bound by all Terms and Conditions herein.
2. COURSE ACCESS AND CONTENT
2.1 License Grant Upon purchase, you receive a non-exclusive, non-transferable, revocable license to access the Course content for personal, non-commercial use only.
2.2 Course Completion Requirement You must complete 100% of the Course lessons before becoming eligible for the Producer Read Guarantee. We track course completion. Incomplete courses are ineligible.
2.3 No Refunds ALL SALES ARE FINAL. Due to the immediate access to digital content and the guaranteed producer read offer, no refunds will be issued once purchase is complete, regardless of whether you complete the course, submit your screenplay pages, or receive feedback.
3. PRODUCER READ GUARANTEE – TERMS AND CONDITIONS
3.1 Eligibility Requirements To be eligible for the Producer Read Guarantee, you MUST:
a) Purchase The Ultimate Screenwriter Course in your own name and provide proof of purchase upon request
b) Complete 100% of all course lessons
c) Write a complete FULL DRAFT of your screenplay (minimum 90 pages, maximum 140 pages) professionally formatted as outlined in The Ultimate Screenwriter Course.
d) Provide proof that you have completed a full draft before submitting your first ten pages
e) Submit the first ten (10) pages of your completed screenplay via the official submission form
f) Submit within 365 calendar days from your date of purchase
g) Ensure your submission meets the formatting and quality standards outlined in Section 3.8
CRITICAL REQUIREMENT:
3.1 Eligibility Requirements You must complete a FULL DRAFT of your entire screenplay (90-140 pages) BEFORE you can submit your first ten pages for the Producer Read Guarantee. We require proof of full draft completion.
3.2 One-Year Eligibility Window The Producer Read Guarantee expires exactly 365 days after your purchase date. If you do not submit your ten pages within this timeframe, you forfeit your eligibility. To regain eligibility, you must repurchase the Course at the current price, and the offer must still be active at the time of repurchase.
3.3 Producer Selection Producer selection is at the sole and absolute discretion of The Ultimate Screenwriter team. You do not have the right to:
• Request a specific producer
• Suggest producers
• Demand alternative producers
• Reject the assigned producer
• Receive information about the producer's identity before your submission is read
By submitting your pages, you accept that the assigned producer is final and non-negotiable.
3.4 CRITICAL FRAUD WARNINGS AND STUDENT PROTECTIONS
⚠️ FRAUD WILL BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW ⚠️ YOU MUST BE THE ACTUAL PURCHASER TO SUBMIT:
• You MUST be the actual purchaser of the Course to be eligible
• Proof of purchase must match YOUR identity and payment information
• Submitting under someone else's account or using someone else's purchase is FRAUD
• Using fake accounts, stolen credit cards, or false identities is CRIMINAL FRAUD
• Fraudulent submissions will result in immediate disqualification, legal action, and criminal prosecution
• We reserve the right to verify your identity and require government-issued ID or other documentation at any time
• See Section 10.9 for complete fraud liability and criminal consequences
IDENTITY VERIFICATION REQUIREMENTS: We will verify that:
• The name on the purchase receipt matches the name on the submission form
• The name on the submission form matches your government-issued ID (if requested)
• The credit card or payment method matches your identity
• The person who took the Course is the person submitting the screenplay
• All information provided is truthful and accurate
IF FRAUD IS DETECTED:
• ⛔ Immediate permanent ban from all Waking Life Films Inc. and Ultimate Screenwriter programs
• ⛔ Criminal prosecution for fraud, identity theft, wire fraud, and related crimes
• ⛔ Civil lawsuit for damages, including treble damages (3x actual damages)
• ⛔ Report to law enforcement, credit card companies, and industry guilds
• ⛔ You remain 100% liable for all consequences
• ⛔ We will pursue maximum penalties under state and federal law
PLAGIARISM WARNING:
• You must submit ONLY your original work
• Plagiarism in ANY form will be detected and prosecuted (see Section 10.6 for full definition)
• You are 100% responsible for ensuring your work does not infringe on anyone's copyright
• Claiming "I didn't know" or "it was unintentional" does not excuse plagiarism
• See Section 10.6 for complete plagiarism definition and consequences
COPYRIGHT AND REGISTRATION RESPONSIBILITY:
• YOU are solely responsible for protecting your work
• We strongly recommend (but do not require) that you:
o Register your screenplay with the U.S. Copyright Office
o Register your screenplay with the Writers Guild of America (WGA)
• WE DO NOT provide copyright or WGA registration services
• Failure to register may limit your legal remedies if your work is stolen
• See Section 10.11 for your complete responsibility to protect your work
WHAT WE GUARANTEE (AND ONLY THIS):
• We guarantee that a Hollywood Producer will read the FIRST TEN (10) PAGES ONLY of your completed screenplay
• We guarantee the producer will provide WRITTEN FEEDBACK ONLY on those ten pages
• WE DO NOT GUARANTEE:
o Reading your full screenplay (only first 10 pages)
o Phone calls, meetings, or any verbal communication
o Positive feedback or industry advancement
o Sale, option, production, or representation
o Any outcome beyond written notes on the first 10 pages
BY SUBMITTING, YOU ACKNOWLEDGE:
• You have read and understand ALL Terms and Conditions
• You are the actual purchaser and rightful submitter
• Your work is 100% original with no plagiarism
• You understand what plagiarism is in all forms
• You accept all risks and consequences
• You indemnify Waking Life Films Inc., The Ultimate Screenwriter, and all Released Parties from ALL claims
• If ANY producer, studio, or industry entity sues you, you will indemnify us in total and pay all our legal fees (See Section 10.7)
3.5 Scope of Producer Read
The assigned producer will:
• Read ONLY the first ten (10) pages of your submitted screenplay
• Provide WRITTEN notes/feedback ONLY on those ten pages within 45 days of submission
CRITICAL: THIS OFFER INCLUDES WRITTEN FEEDBACK ONLY. WE DO NOT GUARANTEE:
• Phone calls, video calls, or any verbal communication with the producer
• In-person meetings or consultations
• Ongoing dialogue or back-and-forth discussion
• Responses to follow-up questions about the feedback
• Any form of communication beyond the written notes provided
The producer will NOT:
• Read your entire screenplay (unless they choose to at their sole discretion)
• Guarantee to read beyond page ten
• Provide multiple rounds of feedback
• Guarantee representation, production, purchase, or any business relationship
• Engage in verbal or face-to-face communication (unless they choose to at their sole discretion)
Any request by the producer to read your full screenplay OR engage in verbal communication is entirely at the producer's sole discretion. You have no right to demand the producer read beyond page ten or speak with you directly.
3.5 Scope of Producer Read
The assigned producer will:
• Read ONLY the first ten (10) pages of your submitted screenplay
• Provide WRITTEN notes/feedback ONLY on those ten pages within 45 days of submission
CRITICAL: THIS OFFER INCLUDES WRITTEN FEEDBACK ONLY. WE DO NOT GUARANTEE:
• Phone calls, video calls, or any verbal communication with the producer
• In-person meetings or consultations
• Ongoing dialogue or back-and-forth discussion
• Responses to follow-up questions about the feedback
• Any form of communication beyond the written notes provided
The producer will NOT:
• Read your entire screenplay (unless they choose to at their sole discretion)
• Guarantee to read beyond page ten
• Provide multiple rounds of feedback
• Guarantee representation, production, purchase, or any business relationship
• Engage in verbal or face-to-face communication (unless they choose to at their sole discretion)
Any request by the producer to read your full screenplay OR engage in verbal communication is entirely at the producer's sole discretion. You have no right to demand the producer read beyond page ten or speak with you directly.
3.6 Submission Process - Online Form Required
ALL SUBMISSIONS MUST BE MADE VIA THE OFFICIAL ONLINE SUBMISSION FORM. Email submissions will NOT be accepted.

• Content: ONLY the first ten (10) pages of your screenplay (no more, no less)
• Formatting: Industry-standard screenplay format (Courier 12pt, proper formatting as taught in the Course)

VERIFICATION PROCESS:
Upon submission, we will verify:
1. Your identity matches the Course purchaser
2. You completed 100% of Course lessons (tracked in our system)
3. Your order receipt number is valid and matches your identity
4. Your full draft meets page count requirements (90-140 pages)
5. Your first ten pages are properly formatted
6. All required checkboxes are checked
7. All information is accurate and truthful
If verification fails, your submission will be rejected without refund of Course fees.
3.10 Nature of Feedback
Producer feedback is professional, honest, and critical. Feedback may be:
• Negative or unfavorable
• Brief or extensive (at producer's discretion)
• Focused on structural, story, or craft issues
We do not guarantee positive feedback. Receiving notes does not mean your screenplay will be produced, purchased, represented, or advanced in any way.
4. NO GUARANTEES OF COMMERCIAL SUCCESS
4.1 Educational Purpose Only
This Course is for educational purposes. We make NO guarantees, representations, or warranties regarding:
• Sale of your screenplay
• Production of your screenplay
• Representation by agents or managers
• Employment in the entertainment industry
• Financial success or income
• Any specific career outcome
4.2 No Guarantee of Further Interest
Even if a producer reads your pages and provides feedback, this does NOT guarantee:
• That the producer will option, purchase, or produce your screenplay
• That the producer will read your full screenplay
• That the producer will represent you or introduce you to others
• Any ongoing professional relationship
Producer feedback is final. Producers are under no obligation to engage with you beyond the initial ten-page read.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 Course Content Ownership
All Course content, including but not limited to video lectures, written materials, graphics, logos, and trademarks, are the exclusive property of The Ultimate Screenwriter, Ron Osborn, and/or their licensors. You may not:
• Record, reproduce, distribute, or share Course content
• Use Course content for any commercial purpose
• Reverse engineer or copy teaching methodologies for your own courses
5.2 Your Screenplay Ownership
You retain all intellectual property rights to your submitted screenplay. By submitting, you grant The Ultimate Screenwriter and assigned producers a limited, non-exclusive license to read and evaluate your work solely for the purpose of fulfilling the Producer Read Guarantee.
5.3 No Obligation to Return Materials
Submitted screenplays and materials are not returned. Retain your own copies.
6. LIMITATION OF LIABILITY
6.1 Maximum Liability
To the fullest extent permitted by law, Waking Life Films Inc. and The Ultimate Screenwriter's total liability for any claim arising from this Course shall not exceed the amount you paid for the Course.
6.2 No Consequential Damages
We are NOT liable for:
• Lost profits, lost opportunities, or lost business
• Emotional distress or reputational harm
• Any indirect, incidental, special, or consequential damages
• Damages arising from producer feedback (negative or positive)
• Career setbacks or missed opportunities
6.3 "As-Is" Basis
The Course and Producer Read Guarantee are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
7. MODIFICATION AND TERMINATION OF OFFER
7.1 Right to Modify
Waking Life Films Inc. and The Ultimate Screenwriter reserve the right to:
• Modify, suspend, or terminate the Producer Read Guarantee at any time
• Change Course content, pricing, or structure
• Update these Terms with or without notice
If the Producer Read Guarantee is terminated, only students who purchased before termination and who are within their 365-day eligibility window remain eligible.
7.2 Changes to Terms
Updated Terms will be posted on our website. Your continued use of the Course after changes constitutes acceptance of the new Terms.
8. USER CONDUCT AND PROHIBITED ACTIVITIES
You agree NOT to:
• Harass, threaten, or abuse Waking Life Films Inc., The Ultimate Screenwriter team, Ron Osborn, any of our Mentors, Team Members, instructors, assigned producers, affiliates, employees, contractors, or any person or entity associated with the Company
• Make defamatory, false, or misleading statements about the Course, producers, Ron Osborn, Mentors, Team Members, or any member of our team
• Demand preferential treatment, expedited timelines, or special accommodations
• Submit plagiarized, defamatory, obscene, or illegal content
• Attempt to circumvent the submission process or eligibility requirements
• Share or resell Course access with others
Violation of these terms may result in immediate termination of your access without refund and forfeiture of the Producer Read Guarantee.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Waking Life Films Inc., The Ultimate Screenwriter, Ron Osborn, all subsidiaries, affiliates, instructors, producers, agents, and employees from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:
• Your breach of these Terms
• Your submitted screenplay or content
• Your violation of any third-party rights (including copyright infringement)
• Your interactions with producers or other students
• Any fraud, misrepresentation, or false statements you make
10. SCREENPLAY OUTCOMES AND STRICT INDEMNIFICATION
10.1 Complete Release from Screenplay-Related Liability
YOU EXPRESSLY AGREE TO HOLD WAKING LIFE FILMS INC., THE ULTIMATE SCREENWRITER, RON OSBORN, ALL INSTRUCTORS, PRODUCERS, SUBSIDIARIES, AFFILIATES, PARTNERS, EMPLOYEES, CONTRACTORS, AND AGENTS (COLLECTIVELY "RELEASED PARTIES") COMPLETELY HARMLESS FROM ANY AND ALL CLAIMS, DAMAGES, LOSSES, COSTS, OR LIABILITIES ARISING FROM OR RELATED TO YOUR SCREENPLAY, INCLUDING BUT NOT LIMITED TO:
a) Successful Outcomes:
• Any sale, option, or purchase of your screenplay by any party
• Any production, distribution, exhibition, or exploitation of your screenplay in any medium
• Any profits, revenues, or financial gains derived from your screenplay
• Any awards, recognition, or acclaim your screenplay receives
• Any subsequent career opportunities arising from your screenplay
• Any disputes regarding ownership, credits, compensation, or rights related to your screenplay
• Any claims by third parties regarding your screenplay after it is sold, optioned, or produced
b) Unsuccessful Outcomes:
• Lack of interest from producers, agents, managers, studios, or any industry professionals
• Rejection of your screenplay by any party
• Negative feedback or criticism of your screenplay
• Failure to sell, option, or produce your screenplay
• Lack of career advancement or professional opportunities following submission
• Emotional distress, disappointment, or financial loss resulting from lack of interest in your screenplay
c) All Other Outcomes:
• Any and all consequences, whether positive, negative, or neutral, arising from your screenplay being read, evaluated, or circulated
• Any breach of contract, fraud, misrepresentation, or misconduct by third parties who subsequently interact with your screenplay
• Any intellectual property disputes, including claims of plagiarism, copyright infringement, or idea theft involving your screenplay
• Any defamation, privacy violations, or other legal claims arising from the content of your screenplay
10.2 No Responsibility for Third-Party Actions
The Released Parties are NOT responsible for:
• The conduct, business practices, or decisions of any producer, agent, manager, studio executive, or other industry professional who reads or evaluates your screenplay
• Whether any producer, agent, or industry professional acts ethically, legally, or professionally in their dealings with you or your screenplay
• Any promises, representations, or commitments made by third parties regarding your screenplay
• Any financial terms, contract negotiations, or business arrangements between you and third parties
• Any misconduct, breach of fiduciary duty, or fraudulent activity by third parties who interact with your screenplay
10.3 Strict Indemnification for Screenplay Consequences and Content
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE RELEASED PARTIES (INCLUDING WAKING LIFE FILMS INC., THE ULTIMATE SCREENWRITER, RON OSBORN, ALL SUBSIDIARIES, AFFILIATES, PARTNERS, EMPLOYEES, CONTRACTORS, AGENTS, AND THE ASSIGNED PRODUCER) FROM ANY AND ALL:
• Claims by third parties alleging that your screenplay infringes their intellectual property, privacy rights, or other legal rights
• Lawsuits, legal actions, or disputes arising from the content, production, distribution, or exploitation of your screenplay
• Claims by collaborators, co-writers, or other parties claiming rights to your screenplay
• Losses, damages, attorney's fees, court costs, and expenses incurred by the Released Parties in defending against any claims related to your screenplay
• Any regulatory, governmental, or legal actions arising from your screenplay's content or creation
10.4 Complete Responsibility for Plagiarism, Copyright Infringement, and All Content Claims
YOU ASSUME 100% RESPONSIBILITY AND LIABILITY FOR:
a) Plagiarism and Copyright Infringement (Knowing or Unknowing):
• If you plagiarize, copy, or infringe upon anyone else's copyrighted work, characters, story, dialogue, concepts, or ideas—WHETHER YOU DID SO KNOWINGLY OR UNKNOWINGLY—you are solely and completely responsible
• If you are sued for plagiarism or copyright infringement, you assume 100% of the liability, defense costs, damages, and attorney's fees
• YOU HOLD THE ULTIMATE SCREENWRITER, ALL SUBSIDIARIES, ALL AFFILIATES, AND THE ASSIGNED PRODUCER COMPLETELY HARMLESS from any and all plagiarism or copyright claims
b) All Claims Related to Screenplay Content: You are 100% responsible for ANY and ALL legal claims arising from:
• Your screenplay's story, plot, characters, dialogue, themes, or concepts
• Any allegation that your screenplay infringes on another person's intellectual property (copyrights, trademarks, patents, trade secrets)
• Any allegation that your screenplay violates rights of publicity, privacy, or personality
• Defamation, libel, slander, or disparagement claims arising from your screenplay's content
• Obscenity, indecency, or violations of community standards
• Violations of any laws, regulations, or industry standards
c) Claims Related to Production or Distribution (If Screenplay Is Produced): If your screenplay is produced into a film, television show, or any other media, you are 100% responsible for:
• Any claims that the produced work infringes on third-party rights
• Any lawsuits arising from the content of the finished movie, show, or production
• Any claims by cast, crew, investors, distributors, or audiences
• Any regulatory fines, penalties, or legal actions related to the production
d) Hold Harmless Requirement: YOU EXPLICITLY AND UNCONDITIONALLY AGREE TO HOLD THE FOLLOWING PARTIES 100% HARMLESS:
• Waking Life Films Inc. and all subsidiaries
• The Ultimate Screenwriter and all related entities
• Ron Osborn and all instructors
• All subsidiaries, affiliates, parent companies, and related businesses
• All employees, contractors, agents, and representatives
• The assigned Producer who reads your screenplay
• Any other producers, agents, or industry professionals introduced through this program
"HOLD HARMLESS" MEANS:
• You will defend them in any lawsuit at your own expense
• You will pay all of their legal fees, court costs, and expenses
• You will pay any judgments, settlements, or damages awarded against them
• You will not sue them or bring any claims against them
• You will not join them as defendants in any lawsuit
• You release them from all liability, even if they were partially at fault
10.5 Representation and Warranty of Originality
BY SUBMITTING YOUR SCREENPLAY, YOU REPRESENT AND WARRANT THAT:
• You are the sole author and owner of the screenplay (or have obtained all necessary rights from co-authors)
• Your screenplay is your original work and does not infringe on any third-party rights
• You have not plagiarized, copied, or stolen any elements from any other work
• Your screenplay does not violate any laws or regulations
• You have the full right and authority to submit the screenplay
• All information you provide is truthful and accurate
IF ANY OF THESE REPRESENTATIONS ARE FALSE, YOU REMAIN 100% LIABLE AND THE RELEASED PARTIES REMAIN 100% HELD HARMLESS.
10.6 Plagiarism Definition and Acknowledgment
YOU ACKNOWLEDGE AND UNDERSTAND THAT PLAGIARISM INCLUDES, BUT IS NOT LIMITED TO:
a) Direct Plagiarism:
• Copying text, dialogue, or descriptions word-for-word from another work without attribution or permission
• Using substantial portions of another screenplay, book, article, or creative work without authorization
• Presenting someone else's work as your own
b) Mosaic Plagiarism (Patchwriting):
v • Copying phrases, sentences, or paragraphs from various sources and rearranging them with minor changes
• Combining elements from multiple sources without proper attribution or permission
• Paraphrasing another work too closely while maintaining the same structure and ideas
c) Character and Story Plagiarism:
• Using characters, character names, character traits, or character arcs from another work without permission
• Copying plot structures, story beats, or narrative frameworks from another screenplay or work
• Using distinctive settings, world-building elements, or fictional universes created by others
• Appropriating unique concepts, premises, or high-concept ideas from another work
d) Derivative Works Without Rights:
• Adapting a book, article, play, or other work into a screenplay without obtaining adaptation rights
• Creating sequels, prequels, or spin-offs of copyrighted works without permission
• Using established characters or universes (even with modifications) without authorization
e) Idea Appropriation:
• Using detailed plot outlines, treatments, or story pitches from others without permission
• Appropriating unique story concepts that were shared with you in confidence
• Using proprietary or confidential creative materials from other writers, studios, or production companies
f) Self-Plagiarism (in certain contexts):
• Representing previously published or submitted work as new original work
• Submitting work that you do not have the legal right to submit due to prior contracts or assignments of rights
YOU EXPLICITLY ACKNOWLEDGE THAT:
• You understand what plagiarism is in all its forms
• You understand that even "unconscious" or "unintentional" plagiarism is still plagiarism
• You understand that "being inspired by" or "paying homage to" does not excuse copying
• You understand that changing names or minor details does not make copied work original
• You are 100% responsible for ensuring your work does not plagiarize anyone
• Claiming ignorance of plagiarism does not absolve you of liability
INDEMNIFICATION FOR PLAGIARISM AND FRAUDULENT ACTIONS:
IF YOU COMMIT PLAGIARISM OR ANY FRAUDULENT ACTIONS (WHETHER DETECTED NOW OR IN THE FUTURE), YOU AGREE TO:
1. Immediately notify Waking Life Films Inc. and The Ultimate Screenwriter if you discover your work contains plagiarized elements
2. Fully indemnify all Released Parties from any consequences of your plagiarism or fraud
3. Defend and hold harmless all Released Parties in any legal actions arising from your plagiarism
4. Pay all costs including attorney's fees, damages, settlements, and expenses incurred by Released Parties
5. Accept full responsibility for all consequences, including criminal charges if applicable
6. Release all Released Parties from any claims related to your fraudulent actions
IF PLAGIARISM OR FRAUD IS DETECTED (AT ANY TIME):
• You forfeit all rights and benefits under this Agreement
• You will be permanently banned from all Waking Life Films Inc. and The Ultimate Screenwriter programs
• You remain 100% liable for all consequences
• We reserve the right to notify industry professionals, guilds, and law enforcement
• We may pursue all legal remedies available, including damages and injunctive relief
10.7 Indemnification If Producer, Studio, or Production Company Sues Buyer
CRITICAL PROTECTION: IF ANY PRODUCER, PRODUCERS, PRODUCTION COMPANY, STUDIO, FINANCIER, DISTRIBUTOR, OR ANY ENTERTAINMENT INDUSTRY ENTITY SUES YOU, MAKES CLAIMS AGAINST YOU, OR TAKES LEGAL ACTION AGAINST YOU FOR ANY REASON RELATED TO YOUR SCREENPLAY, YOU AGREE TO:
a) Complete Indemnification of All Released Parties: YOU WILL INDEMNIFY, DEFEND, AND HOLD 100% HARMLESS:
• Waking Life Films Inc. and all subsidiaries
• The Ultimate Screenwriter and all related entities
• Ron Osborn and all instructors
• All Mentors, Team Members, employees, contractors, agents, and affiliates
• The assigned Producer who read your screenplay
• Any and all Released Parties
FROM AND AGAINST:
• Any and all claims, lawsuits, legal actions, or proceedings brought by the Producer, Producers, Production Companies, Studios, Financiers, Distributors, or any entertainment industry entities
• Any cross-claims, third-party claims, or joinder attempts that name us as defendants
• Any attempts to hold us liable for your actions or your screenplay
• Any claims that we facilitated, enabled, or are responsible for any alleged misconduct
b) Reasons Producer/Studio Might Sue You (You Indemnify Us For All):
Copyright/IP Claims:
• Claims that your screenplay infringes their copyrights or intellectual property
• Claims that you stole ideas, characters, or concepts from their properties
• Claims that you breached confidentiality agreements
• Claims of misappropriation of trade secrets or proprietary information
Contract/Business Claims:
• Breach of contract claims
• Claims you violated option agreements, purchase agreements, or production agreements
• Claims of fraud or misrepresentation in business dealings
• Claims you violated non-disclosure agreements (NDAs)
• Claims regarding compensation, credits, or profit participation disputes
Defamation/Reputation Claims:
• Claims that your screenplay defames them or their associates
• Claims that you made false statements about them
• Claims of disparagement or trade libel
• Reputational harm claims
Tortious Interference Claims:
• Claims you interfered with their business relationships
• Claims you interfered with their contracts or prospective business opportunities
Fraud/Misconduct Claims:
• Claims you defrauded them in any way
• Claims of negligent misrepresentation
• Claims of concealment or omission of material facts
ANY OTHER CLAIMS WHATSOEVER:
• Any claims, causes of action, or legal theories asserted against you
• Whether meritorious or frivolous
• Whether in contract, tort, or any other legal basis
c) Your Specific Obligations If Sued:
YOU MUST:
1. Immediately notify us in writing within 48 hours of receiving any demand letter, complaint, or legal action from any Producer, Studio, Production Company, or industry entity
2. Provide copies of all legal documents, correspondence, and communications related to the claims
3. Hire your own attorney at your own expense to defend yourself
4. DO NOT agree to any settlement, consent to any judgment, or make any admissions that could affect our rights without our prior written consent
5. Cooperate fully with our legal defense if we are named as defendants
6. Pay all our legal fees and costs if we are joined in the lawsuit
7. Indemnify us for any judgments, settlements, damages, or awards entered against us
8. Take all actions necessary to remove us from the litigation as quickly as possible
d) If We Are Named as Defendants:
If any Producer, Studio, Production Company, or industry entity names Waking Life Films Inc., The Ultimate Screenwriter, or any Released Parties as defendants in a lawsuit against you:
YOU WILL:
• Immediately retain counsel to defend us at your expense
• Pay all attorney's fees, court costs, expert witness fees, and litigation expenses
• File cross-claims for indemnification against yourself if necessary
• Move to dismiss claims against us and pay our costs for such motions
• Accept full responsibility and liability for all claims
• Pay any judgments or settlements on our behalf
• Reimburse us for any amounts we are forced to pay
• Pay for our time, lost business opportunities, and reputational harm
e) No Contribution or Allocation: You waive any right to claim that we should share liability or pay any portion of damages. You are 100% responsible regardless of any claims that we facilitated the introduction or connection.
f) Survival of Indemnification: This indemnification obligation survives termination of this Agreement and continues indefinitely. Even if this Agreement ends or the Course is discontinued, you remain obligated to indemnify us from claims arising from your screenplay.
g) Multiple Claimants: If multiple Producers, Studios, or entities sue you simultaneously or sequentially, you indemnify us from ALL such claims. There is no cap on your indemnification obligation.
BOTTOM LINE: If any Producer, Studio, Production Company, or industry entity takes any legal action against you for any reason, you are 100% responsible for defending us and paying all our costs. We will not pay one dollar to defend claims arising from your screenplay.
10.8 Producer Protection
THE ASSIGNED PRODUCER IS SPECIFICALLY PROTECTED:
• The producer who reads your screenplay is doing so as a professional courtesy facilitated by The Ultimate Screenwriter
• If your screenplay contains plagiarized, infringing, defamatory, or illegal content, the producer is held completely harmless
• You may not sue the producer for reading your screenplay, even if the producer later uses similar ideas (which would be your burden to prove was actual copying)
• The producer has no liability to you for their feedback, opinions, or any subsequent actions they take
• If the producer is sued because of your screenplay, you will defend and indemnify the producer at your own expense
10.9 Fraud and Identity Misrepresentation - Complete Liability
YOU ARE 100% LIABLE FOR FRAUD IF:
a) You Are Not the Actual Purchaser:
• If you did NOT purchase this Course yourself but are submitting work under another person's name or account
• If you are submitting on behalf of someone else who did not purchase the Course
• If you fraudulently use someone else's purchase receipt or account credentials
• If you misrepresent your identity or purchase status in any way
b) Fraudulent Submissions:
• Submitting work that is not yours
• Submitting someone else's screenplay under your name
• Using another person's Course access without authorization
• Falsifying proof of purchase or purchase information
• Creating fake accounts or identities to gain unauthorized access
c) Consequences of Fraud: If you commit fraud or misrepresentation, YOU ARE LIABLE FOR:
• Criminal prosecution for fraud, identity theft, or wire fraud
• Civil liability for damages to Waking Life Films Inc., all subsidiaries, and the assigned Producer
• All legal fees, costs, and expenses incurred by the Released Parties in pursuing legal action against you
• Treble damages (3x actual damages) where permitted by law
• Immediate termination of all Course access and Producer Read Guarantee eligibility
• Permanent ban from all Waking Life Films Inc. and The Ultimate Screenwriter programs and services
d) Verification Rights: We reserve the right to:
• Verify your identity and purchase status at any time
• Require government-issued ID, credit card verification, or other proof of identity
• Reject any submission if we suspect fraud or misrepresentation
• Report fraudulent activity to law enforcement
• Pursue criminal and civil charges against anyone who commits fraud
e) Hold Harmless from Fraud: If your fraud causes any harm to the Released Parties, including damage to relationships with producers, reputational harm, or legal liability, YOU WILL INDEMNIFY, DEFEND, AND HOLD HARMLESS ALL RELEASED PARTIES from any and all consequences of your fraudulent actions. FRAUD IS A CRIME. WE WILL PROSECUTE TO THE FULLEST EXTENT OF THE LAW.
10.10 Producer Interaction Disclaimer and Extended Liability Shield CRITICAL UNDERSTANDING: The Producer Read Guarantee provides ONLY an introduction to a producer who will read your first ten pages and provide written feedback. Beyond that initial ten-page read and written notes, we provide NOTHING else.
WE HAVE ABSOLUTELY NO CONTROL OVER:
• What producers do with your screenplay or how they treat you
• What the producer's affiliates, colleagues, assistants, employees, partners, or associates do with your screenplay
• What any studio, production company, financier, distributor, or other entity does with your screenplay
• Any business dealings, negotiations, contracts, or relationships that occur after the initial ten-page read
WE ARE NOT RESPONSIBLE IF:
Producer Misconduct:
• A producer steals your idea, concept, characters, or story
• A producer breaches confidentiality or shares your work without permission
• A producer acts unprofessionally, unethically, or illegally
• A producer plagiarizes your work or uses it without compensation
• A producer promises you something (representation, production, sale, option) and fails to deliver
• A producer options your screenplay and the deal falls through
• A producer's behavior damages your career or reputation
Producer's Network Misconduct:
• The producer's affiliates, colleagues, assistants, employees, partners, or associates steal your work
• Anyone in the producer's network breaches confidentiality
• The producer shares your screenplay with others who misuse it
• Anyone the producer introduces you to acts fraudulently or unethically
Studio/Production Company Issues:
• Any studio or production company defrauds you
• Any studio or production company steals, copies, or misappropriates your work
• Any studio or production company ruins your work through poor production, editing, or creative choices
• Any studio or production company breaches contracts or fails to pay you
• Any studio or production company engages in accounting fraud or "Hollywood accounting"
• Any financier, distributor, or other business entity acts fraudulently
Post-Production Issues:
• Your screenplay is produced and you are dissatisfied with the result
• You are dissatisfied with compensation, credits, or treatment
• The finished film differs substantially from your original screenplay
• You are denied credits or given inadequate credits
• You are paid less than promised or not paid at all
• The production quality is poor or damages your reputation
Reputational Harm:
• A producer blacklists you in the industry
• A producer provides negative feedback about you to others
• A producer damages your reputation through statements or actions
• Anyone in the industry spreads negative information about you or your work
Industry Relationships:
• The producer refuses to work with you again
• The producer advises others not to work with you
• Your relationship with the producer deteriorates
• Any professional relationship fails or causes harm
YOU ASSUME 100% OF ALL RISKS ASSOCIATED WITH:
• Any producer relationship or business dealing after the initial ten-page read
• Any interactions with the producer's network, affiliates, colleagues, or associates
• Any dealings with studios, production companies, financiers, distributors, or other industry entities
• Any use, misuse, theft, or exploitation of your screenplay by any party
• Any contracts, negotiations, or business arrangements you enter into
• All consequences of submitting your work and interacting with the entertainment industry
WAKING LIFE FILMS INC., THE ULTIMATE SCREENWRITER, ALL SUBSIDIARIES, RON OSBORN, AND ALL RELEASED PARTIES ARE HELD 100% HARMLESS FROM ANY AND ALL ACTIONS, MISCONDUCT, FRAUD, THEFT, BREACH, OR HARM CAUSED BY:
• The assigned producer
• The producer's affiliates, colleagues, assistants, employees, partners, associates, or anyone in their network
• Any studio, production company, financier, distributor, or entertainment industry entity
• Any third party who interacts with your screenplay after the initial read
10.11 Buyer's Responsibility to Protect Their Own Work
YOU ARE SOLELY AND COMPLETELY RESPONSIBLE FOR PROTECTING YOUR SCREENPLAY AND ALL ASSOCIATED INTELLECTUAL PROPERTY.
REQUIRED PROTECTIVE ACTIONS - YOUR RESPONSIBILITY:
a) Copyright Registration: You are responsible for registering your screenplay with the U.S. Copyright Office or equivalent copyright authority in your jurisdiction. We do NOT register your copyright. We do NOT file copyright applications on your behalf. Failure to register copyright may limit your legal remedies if your work is stolen.
b) WGA Registration: You are responsible for registering your screenplay with the Writers Guild of America (WGA) or equivalent screenwriting guild. We do NOT register your work with the WGA. We do NOT provide WGA registration services. WGA registration provides evidence of authorship and completion date.
c) Intellectual Property Protection: You are responsible for protecting ALL intellectual property associated with your screenplay, including but not limited to:
• Character names, descriptions, and development
• Story concepts, plots, and narrative structure
• Dialogue and unique phrases
• Settings and world-building elements
• Any trademarks associated with your work
• Any patents (if applicable to inventions or processes in your screenplay)
• Any trade secrets or proprietary information
• Title registration (if applicable)
d) Legal Documentation: You are responsible for:
• Maintaining dated, timestamped copies of all drafts
• Keeping records of your creative process and development
• Documenting when and how you created your work
• Preserving evidence of originality and authorship
• Maintaining chain of title documentation
e) Confidentiality and NDAs: You are responsible for:
v • Negotiating non-disclosure agreements (NDAs) with anyone who reads your full screenplay
• Protecting confidential elements of your work
• Deciding who to share your work with
• Managing access to your screenplay
f) Professional Representation: You are responsible for:
• Hiring your own entertainment attorney to review any contracts
• Hiring your own agent or manager (if desired)
• Negotiating all deals and business arrangements
• Understanding industry standards for compensation and credits
WE DO NOT PROVIDE:
• Copyright registration services
• WGA registration services
• Legal advice or contract review
• Negotiation services or representation
• Intellectual property protection services
• Entertainment attorney referrals or recommendations
• Agent or manager connections beyond the Producer Read Guarantee
• Business advice or career guidance beyond the Course content
WE PROVIDE ONLY:
• The educational Course content
• One introduction to a producer who will read your first ten pages and provide written feedback
• NOTHING else
BY SUBMITTING YOUR SCREENPLAY, YOU ACKNOWLEDGE:
• You have taken (or chosen not to take) appropriate steps to protect your work
• You understand the risks of sharing your work in the entertainment industry
• You understand that copyright, WGA registration, and other protections are YOUR responsibility
• You understand that we are NOT providing legal protection services
• You understand that failure to protect your work may result in loss of legal remedies
• You assume ALL risks associated with your decision to submit your work
IF YOUR WORK IS STOLEN, MISUSED, OR EXPLOITED:
• It is YOUR responsibility to take legal action
• It is YOUR responsibility to enforce your rights
• Waking Life Films Inc., The Ultimate Screenwriter, and all Released Parties are NOT responsible
• We will NOT participate in legal actions, disputes, or litigation related to your work
• We will NOT provide testimony, documentation, or support in legal proceedings (unless legally compelled by subpoena)
CRITICAL: We are not offering any legal instruction, intellectual property protection services, or professional services beyond what is explicitly stated in this Course. You understand and accept your full and total responsibilities under this Agreement to protect your own work.
10.12 No Liability for Financial Outcomes
Whether your screenplay makes $0 or $100 million, we are NOT entitled to any share of your success, NOR are we liable for your lack of success. We provide education and access—nothing more.
10.13 Waiver of All Claims
BY SUBMITTING YOUR SCREENPLAY, YOU EXPRESSLY WAIVE ANY AND ALL CLAIMS AGAINST THE RELEASED PARTIES, WHETHER KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, ARISING FROM OR RELATED TO:
• The success or failure of your screenplay
• The actions or inactions of any producer or industry professional
• Any career, financial, reputational, or emotional consequences of participating in this program
This waiver is KNOWING, VOLUNTARY, and INTENTIONAL. You acknowledge that you have had the opportunity to consult with legal counsel before agreeing to this waiver.
11. RIGHT TO TERMINATE OR MODIFY OFFER AT ANY TIME
11.1 Unconditional Right to Terminate
WAKING LIFE FILMS INC. AND THE ULTIMATE SCREENWRITER RESERVE THE ABSOLUTE AND UNCONDITIONAL RIGHT TO:
• Terminate, suspend, or discontinue the Producer Read Guarantee at any time, for any reason, without notice
• Terminate the offer even if you have already purchased and are within your 365-day eligibility window
• Modify the terms, conditions, or scope of the Producer Read Guarantee at any time
• Stop accepting submissions at any time, even from students who have not yet submitted
11.2 No Compensation for Early Termination
IF WE TERMINATE THE PRODUCER READ GUARANTEE BEFORE YOU SUBMIT YOUR PAGES, EVEN IF YOU ARE WITHIN YOUR 365-DAY WINDOW:
• You are NOT entitled to any refund, partial refund, or compensation
• You are NOT entitled to any substitute offer or alternative arrangement
• You are NOT entitled to damages of any kind
• Your purchase was for the educational Course content, which you have received; the Producer Read Guarantee is an additional benefit that may be revoked at our sole discretion
11.3 Force Majeure and Producer Availability
We may terminate the offer due to:
• Lack of available producers willing to participate
• Changes in industry practices or legal requirements
• Financial, operational, or business reasons
• Any other reason we deem appropriate
You acknowledge and agree that the Producer Read Guarantee is contingent upon the continued availability and willingness of producers to participate. If producers are no longer available, the offer terminates immediately.
11.4 Notice of Termination
While we are not obligated to provide notice, we may choose to announce termination of the Producer Read Guarantee via:
• Email to active students
• Notice on our website
• Social media announcement
Lack of notice does not entitle you to any compensation or extension of the offer.
11.5 Grandfathering Disclaimer
IMPORTANT: Even if you purchased while the offer was active, we reserve the right to terminate the offer for all students, including those within their eligibility window. There is no "grandfathering" of rights. Your purchase grants you a conditional opportunity, not a guaranteed entitlement.
12. NO EMPLOYMENT OR AGENCY RELATIONSHIP
12.1 Independent Relationship
Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and The Ultimate Screenwriter, its instructors, or producers.
12.2 No Representation
Participation in this Course does NOT mean that producers, instructors, or The Ultimate Screenwriter represent you, advocate on your behalf, or have any fiduciary duty to you.
13. DISPUTE RESOLUTION
13.1 Governing Law
These Terms shall be governed by the laws of the State of Tennessee, without regard to conflict of law principles.
13.2 Arbitration Agreement
Any dispute arising from these Terms or the Course shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial or to participate in a class action lawsuit.
13.3 Venue If arbitration is deemed unenforceable, exclusive jurisdiction for any legal action shall be in the state and federal courts located in Tennessee.
14. PRIVACY AND DATA COLLECTION
By using the Course, you consent to our collection and use of your personal information as outlined in our Privacy Policy, including:
• Name, email, payment information
• Course progress and completion data
• Submitted screenplay pages and feedback
We will not share your submitted screenplay with anyone other than the assigned producer without your permission.
15. FORCE MAJEURE
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to:
• Acts of God, natural disasters, pandemics
• Producer unavailability due to illness, death, or scheduling conflicts
• Technical failures, server outages, or cyberattacks
• Changes in industry practices or producer availability
16. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and Waking Life Films Inc. / The Ultimate Screenwriter regarding the Course and supersede any prior agreements or understandings.

✓ Producer selection is entirely at our discretion
✓ You have no right to choose, request, or reject producers
✓ Producers will only read the first ten pages of your screenplay
✓ Producer feedback is WRITTEN ONLY - no phone calls, meetings, or verbal communication guaranteed
✓ Reading the full screenplay is at the producer's sole discretion
✓ Verbal communication with producers is at the producer's sole discretion
✓ You must be the actual purchaser of the Course - submitting under someone else's account is FRAUD
✓ You are 100% liable for fraud, identity misrepresentation, or using someone else's purchase
✓ You understand what plagiarism is in all its forms (direct, mosaic, character, story, derivative, idea appropriation)
✓ You acknowledge that even "unintentional" or "unconscious" plagiarism is still plagiarism and you are 100% liable
✓ If you commit plagiarism or fraud, you indemnify us in full from all consequences of your fraudulent actions
✓ If any Producer, Producers, Production Company, Studio, Financier, Distributor, or entertainment industry entity sues you for any reason, you indemnify us in total and pay all our legal fees and costs
✓ If we are named as defendants because of your screenplay, you will defend us and pay all expenses
✓ You must submit within 365 days of purchase or forfeit eligibility
✓ All sales are final with no refunds
✓ Feedback may be negative and does not guarantee success
✓ This is an educational course, not a guarantee of career advancement
✓ Waking Life Films Inc. and The Ultimate Screenwriter are not liable for any damages beyond your purchase price
✓ Waking Life Films Inc., The Ultimate Screenwriter, and all subsidiaries are held completely harmless from all outcomes related to your screenplay, whether successful (sale, option, production) or unsuccessful (rejection, lack of interest)
✓ We are NOT responsible for any actions by the producer, the producer's affiliates, colleagues, assistants, or anyone in their network
✓ We are NOT responsible for any actions by studios, production companies, financiers, distributors, or any entertainment industry entity
✓ We are NOT responsible if your work is stolen, defrauded, misused, or if deals fall through
✓ You are SOLELY responsible for protecting your work through copyright registration, WGA registration, trademarks, patents, and all other IP protections
✓ We do NOT provide copyright registration, WGA registration, legal services, or IP protection services
✓ We provide ONLY the Course and one producer introduction - nothing else
✓ You understand your full and total responsibilities under this Agreement
✓ You assume 100% responsibility for ALL claims related to your screenplay content, including plagiarism, copyright infringement (knowing or unknowing), defamation, and any other legal claims
✓ You hold Waking Life Films Inc., The Ultimate Screenwriter, all subsidiaries, and the assigned Producer 100% harmless from any claims related to your screenplay, characters, story, or any produced work
✓ You will defend and pay all legal fees if Waking Life Films Inc., The Ultimate Screenwriter, subsidiaries, or the Producer are sued because of your screenplay
✓ You strictly indemnify us from any claims arising from your screenplay, including third-party disputes, intellectual property claims, producer misconduct, and if any industry entity sues you
✓ Waking Life Films Inc. and The Ultimate Screenwriter have the absolute right to terminate the Producer Read Guarantee at any time, even within your 365-day eligibility window, without refund or compensation
✓ We are not responsible for any actions, conduct, or decisions of producers or other industry professionals who interact with your screenplay
